Ms. Recto has advised international and domestic companies in mergers and acquisitions, joint ventures, cross border transactions, structuring and reorganization. She has acted as counsel for issuers and underwriters on equity and debt capital raising transactions such as offering of notes and bonds, initial public offering, stock rights offering, and private placement.
Ms. Recto has assisted in the establishment of corporations, branch offices and subsidiaries in the Philippines. She has conducted legal due diligence review, drafted, reviewed and negotiated shareholder agreements, share purchase agreements, sale and lease contracts.
She has also assisted clients in compliance with antitrust and trade regulations and data privacy laws. She has advised clients on matters related to competition law enforcement, particularly on whether proposed agreements or actions are valid under the Philippine Competition Act. She has participated in conducting antitrust compliance reviews of policies and processes of companies.
Ms. Recto acts as Assistant Corporate Secretary of various Philippine corporations.
She has written articles for various publications such as Businessworld, Asian Mena Counsel, and the Asia Business Law Journal, on the topics of debt collection harassment, compulsory investment of branch offices, disclosure requirement of the beneficial owners of corporations and the Philippine Competition Commission’s joint venture guidelines.
Ms. Recto was admitted to the Philippine Bar in 2017 and is a member of the Manila City Chapter of the Integrated Bar of the Philippines.
