Ms. Manibog’s practice covers mergers and acquisitions, securities and capital markets, competition law, and special registrations with government agencies such as the Philippine Economic Zone Authority and the Bangko Sentral ng Pilipinas. She has acted as counsel for entities representing different industries from telecommunications companies, banks, business process outsourcing companies, manufacturing companies, and hospitals and clinics.
She has conducted legal due diligence on various companies for local and foreign clients. She has assisted in the establishment of corporations, branch offices and subsidiaries in the Philippines. She has also advised clients on restructuring.
Among her fields of specialization is the growing field on competition law. She has assisted clients on their compliance with the Philippine Competition Act, including those involving the mandatory notifications of a merger of a multinational pharmaceutical and life sciences company with a multinational agrochemical and agricultural biotechnology company, a joint venture involving a power distribution company, and a merger involving education institutions, among many others. She has also advised clients on matters related to competition law enforcement, particularly whether proposed agreements or actions are valid under the Philippine Competition Act. She has participated in conducting antitrust compliance reviews of policies and processes of companies.
Ms. Manibog acts as Assistant Corporate Secretary in various Philippine corporations.
Ms. Manibog has written articles for BusinessWorld, a local publication, on the topics of “Anticompetitive agreements under the Philippine’s Competition Act” and “Developments in the Philippine Competition Commission’s Enforcement Activities”. These articles were re-published in the Asia Business Law Journal. She was also a co-author of the article “Philippine Competition Commission Bares its Teeth” which was published in the Asia-Mena Counsel’s Anti-Trust & Competition Special Report 2019.
She is a member of the Rizal-San Juan-Mandaluyong Chapter of the Integrated Bar of the Philippines and the University of the Philippines Women Lawyers’ Circle.
