Roilan Rigil Kent A. Alonzo’s and Louise Michiko B. Lokin’s Articles in the Philippine Law Journal

ACCRALAW Senior Associate Roilan Rigil Kent A. Alonzo and Associate Louise Michiko B. Lokin were featured in the 2nd Issue of the 98th Volume of the Philippine Law Journal.

Mr. Alonzo’s article, “A Suggested Synthesis of Rulings on the Stockholder’s Approval Requirement as a Condition Precedent to a Sale of All or Substantially All Assets of a Corporation,” discusses how various interpretations of the term “all or substantially all assets” under the Revised Corporation Code may be reconciled through a synthesis of existing statutory and regulatory definitions.

Meanwhile, Ms. Lokin’s article, “Imperceptible Sleights: The Rise of Political Deepfakes and Challenges in the Regulation of Election Propaganda,” discusses the use of deepfake content by disinformation networks, its growing threat to electoral integrity, and how future regulatory frameworks may respond to these challenges.

Mr. Alonzo is from the Firm’s Corporate and Special Projects Department. He specializes in corporate work, regulatory, and advisory work. He has acted as counsel in major transactions, including the initial public offering of a renewable energy company and the merger of two Philippine banks. He has also provided advice on procurement and public-private partnership projects under the New Government Procurement Act and the Public Private Partnership Code.

Ms. Lokin is from the Firm’s Litigation and Dispute Resolution Department. She handles a sundry of cases involving civil, criminal, energy, and data privacy law.

The Philippine Law Journal is the oldest English-language law review in Asia. Mr. Alonzo and Ms. Lokin served as Editors in the Journal’s 92nd and 97th volumes, respectively.
