Ms. Fajardo-Nacin’s practice involves general corporate work. She has provided the following services to clients:
- drafted templates for vendor and customer contracts of a multinational-company engaged in the wholesale and retail of cosmetic products;
reviewed contracts for a client who is an over-the-top media service provider in the Philippines; - advised on data privacy compliance;
- assisted in the establishment and closure of branch offices and subsidiaries of local and foreign clients;
- advised and assisted on the formation, structuring and incorporation of various corporations, in compliance with the nationalization laws of the Philippines, including compliance with post-incorporation requirements;
- corporate housekeeping and filing of reportorial requirements with Securities and Exchange Commission.
She has also been seconded to the Contract Management and Governance Office of one of the largest telecommunications companies in the Philippines to assist in the update of its contract templates with various vendors and development of an end-to-end contract management tool for vendor contracts.
Ms. Fajardo-Nacin has also assisted on the following special projects:
- Acted as counsel for both lender and borrower for various Omnibus Loan and Security Agreement transactions;
- Application for Special Contractors License with the Philippine Contractors Accreditation Board;
- Registration of a foreign company engaged in the aeronautics business with the Philippine Government Electronic Procurement System;
- Bid submission of a client who joined and was awarded with government contracts relating to the automation of the 2016, 2019, and 2022 Philippine National and Local Elections;
- Shelf-registration and application for permit to sell of Debt Securities of one of the biggest mall operators in the Philippines with the Securities and Exchange Commission;
- Initial public offering of a renewable energy company and follow-on public offering of publicly listed companies holding shares of mining companies, energy companies, and logistic companies.
- Acted as local counsel for the Medium-Term Note Program of various local and foreign banks;
- Notification of merger transactions with the Philippine Competition Commission;
- Legal compliance for the equity restructuring of a multinational company engaged in the energy business;
- Various mergers and acquisitions, assisting both the sell and the buy side, of various companies (e.g. mining companies, manufacturing companies, telecommunication companies, companies with licenses issued by the Commission on Higher Education, Department of Foreign Affairs, Philippine Food and Drug Administration, etc.); and
- Reclamation Project.
In 2025, Ms. Fajardo-Nacin has been cited as one of the key lawyers in the Capital Markets practice of the Firm by the Asia Pacific Legal 500.
