Ms. Fajardo-Nacin’s practice involves general corporate work, foreign investments, advertisements and mass media, public procurement, and securities and capital markets.
She has handled a number of significant transactions where she:
- Advised and assisted foreign clients in participating in procurement projects with Philippine government agencies, such as the Department of National Defense, which includes registration with the Philippine Government Electronic Procurement System;
- Assisted in the preparation of the bid submissions of a client who joined and was awarded with government contracts relating to the automation of the 2016, 2019, and 2022 Philippine national and local elections;
- Acted as counsel for the underwriters for the shelf-registration and application for permit to sell of Debt Securities of one of the biggest mall operators in the Philippines with the Securities and Exchange Commission;
- Acted as counsel for the underwriters for the initial public offering of a renewable energy company and follow-on public offerings of publicly listed companies holding shares of energy companies and logistic companies;
- Acted as counsel for the issuer for the follow-on public offering of a publicly listed company holding shares of mining companies;
- Acted as local counsel for the dealers and managers in various Medium-Term Note Programs of various local and foreign entities;
- Advised and assisted on the merger and equity restructuring of various Philippine companies;Â
- Advised on various Omnibus Loan and Security Agreement transactions;
- Assisted foreign contractors in obtaining its contractors license with the Philippine Contractors Accreditation Board;
- Advised on various acquisitions, assisting both the sell and the buy side, of various companies (e.g. mining companies, manufacturing companies, telecommunication companies, companies with licenses issued by the Commission on Higher Education, Department of Foreign Affairs, Philippine Food and Drug Administration, etc.);
- Advised clients with respect to their compliance with foreign ownership restrictions;Â
- Advised and assisted on the formation, structuring, and incorporation of various subsidiaries of foreign clients, to ensure compliance with foreign ownership restrictions;
- Assisted in the closure and liquidation of various Philippine corporations; and
- Advised on data privacy compliance.
She has also been seconded to the Contract Management and Governance Office of one of the largest telecommunications companies in the Philippines to assist in the update of its contract templates with various vendors and development of an end-to-end contract management tool for vendor contracts.
In 2025, Ms. Fajardo-Nacin has been cited as one of the key lawyers in the Capital Markets practice of the Firm by the Asia Pacific Legal 500.

Ms. Fajardo-Nacin was admitted to the Philippine Bar in 2013 and is a member of the Quezon City Chapter of the Integrated Bar of the Philippines.
