Ms. Soria-Prima specializes in general corporate work, M&A, business process outsourcing (BPO), real estate, immigration and taxation.
She assists domestic and foreign investors set up their business in the Philippines, and is involved in corporate compliance, contracting, M&A, and other corporate law issues, as well as cross-jurisdictional legal issues. She also handles labor and employment, immigration, and taxation.
Among her significant projects and legal transactions are:
- advised a private manufacturing company on its $176million expansion project by drafting the Engineering Procurement and Construction (EPC) contract with its offshore and onshore contractors as well as leading the transaction’s legal arrangements;
- advised clients in the takeover of the registered activities of a Philippine Economic Zone Authority (PEZA) registered company and the consequent transfer of assets and employees;
- advised private entities on compliance requirements under the Strategic Trade Management Act including company registration and individual authorization with the Strategic Trade Management Office;
- advised and assisted a NASDAQ listed company in the acquisition of a BPO company in the Philippines including legal due diligence and drafting of definitive agreement;
- advised a private foreign integrated airport platform entity on competition-related issues in the Philippines for the sale of an aggregate 49% of its shares;
- advised a joint venture between a Philippine conglomerate and foreign group in relation to the structuring of a transaction with the local government unit and Philippine Reclamation Authority on the ownership of reclaimed land, a portion of which is classified as protected area;
- advised a private entity in relation to an acquisition of 53 parcels of land for its mixed residential and commercial development in Cebu and conducted due diligence on the properties involved;
- represented various shipyard owners and operators in connection with their opposition of a proposed reclamation project;
- represented a private mining company in questioning the validity of the amendments to the local government unit’s tax code;
- advised a private entity in relation to an acquisition of a parcel of land for its commercial development in Cebu and conducted due diligence on the properties involved; and
- assisted a publicly listed company in the registration with the Securities and Exchange Commission of its public offering of Fixed Rate Bonds.
Ms. Soria-Prima contributed to the Philippines section of Doing Business 2018: Reforming to Create Jobs, a World Bank Group Flagship Report comparing business regulation for domestic firms in 190 countries.
She also speaks on a variety of topics from corporate compliance and taxation. Among her significant speaking engagements are:

She is one of the Firm’s representatives to the People Management Association of the Phils. Cebu, Inc.
She is currently director and corporate secretary of various business organizations. She is a certified public accountant.
Ms. Soria-Prima graduated third among the students of her graduating class. She was admitted to the Philippine Bar in 2015 and is a member of the Cebu City Chapter of the Integrated Bar of the Philippines.
